There's only 3 reasons to do a debt/equity swap - (i) you believe the enlarged equity is more valuable in a debt free company than under the previous arrangements, (ii) you can use the debt write off elsewhere within your corporate structure/holding company for tax purposes or (iii) you have to write off debt due to regulatory pressure (in the case of football clubs FFP)
 
But he owned all the shares anyway so he's written off the debt

He's 'restructured the debt'. Since Aston Villa has been effectively insolvent he's done a debt to share equity swap meaning that the debt was shifted to Reform Acquistions.

It shows how bad their financial position became.

He's relieving the pressure to try and pump the dry well that little bit more.

'Typically equity swaps are entered into in order to avoid transaction costs (including Tax), to avoid locally based dividend taxes, limitations on leverage (notably the US margin regime) or to get around rules governing the particular type of investment that an institution can hold.'

1. Tax.
2. Maximise management fees he could continue to charge.

WIll let @the esk detail why Lerner has so benevolently allowed hundreds of millions to disappear seemingly. Never known a business man ever to put money into something without getting a return out. Ever.

Owning a Premiership Club isnt like anyother business, as Mr Lerner has just found out.

History is littered with businessman who have lost money.

Some how , someway this board if it had any sort of integrity left would sell (Villa as a template)
15th most marketable club in world football that is struggling to be sold....not having any of that.
If its real profit they want ,its there right now.It surely is now or never for this board.

Same here mate...heard a lot of good things about WHP Joe Anderson really pushing it,heard there where backers lined up . Naming rights were almost sorted
Plans were more than just outlined ,the past few months have gone very quiet . Something has gone terribly wrong if this is shelved.
But on the other hand I'm being told there are interested buyers coming forward ,so maybe if the club is sold they have their own ideas.
Same here I wont be slagging Bill off ,but still have serious concerns about his fellow board members.
