Two things:

Moshiri is an accountant.
Accountants by nature are generally soft spoken with timid, placid personalities. They're pushovers.

Kenwright is a b.llshitter of note. A master manipulator who knows how to get his way.
It wouldn't surprise me if he had Mosh wrapped around his little finger.

You are correct to say there is no difference.

Bill brought him to the club, some him his shares, assured us how amazing he was, then sat in the most senior position of his board for 7 years, without issuing a single word of criticism in that time. He ran the organisation. He owns the mess of Moshiri more than any other figure.

If this was the financial markets, he would be up for inditement.

You mean Kenwright should of been publically calling out Moshiri on what he is doing? Interesting point that, nobody will no better but he has said nothing.
Maybe that's why Farhad wants him at the club, he is an easy target, Moshiri knows he wants to be part of Everton and in return for that he can't really rock the boat.
Problem we have if Kenwright didn't go along with what Farhad wants he will just replace him with someone who will, either way Moshiri wins.

Imagine that. Worst case scenario, kenwright might have a tiny bit of dignity and Everton would still be run poorly. So even in the worst case scenario, that’s better than what we have.
