If they want him to stay, I'd imagine he wants assurances that the quality of team mate will be improved

that might be the case. I’m not sure he has been the player of the season for me though. Usually, those that demand those assurances would be head and shoulders above their team mates (Grealish for example). He has been magnificent at times, but out a lot with injury and some times a passenger.
Don’t get me wrong I love him playing for Everton, and don’t want him to leave.
If he leaves us I’m not sure he goes on to a top tier side, msl, Middle East or China.

You don't think he's been good in the majority of games he has been fit for? I'd disagree on that and a lot of his game depends on the intelligence of his teammates to move and find space. Hopefully with a full pre-season he may stay fitter longer but I accept injuries are why he is here in the first place.

Therefore sell Holgate for 20m and buy Koubailly for 35m
Keane /Mina and Koubailly /Godfrey as your 2 CB pairings
One plays high and one sits deep as and when required

I personally really like Holgate, he still has 10 years in him. But I was a huge fan since Martinez used him for a bit and did surprisingly well.

I don't have a place for Koulibaly only heard he's a quality player. That 35m spend it on a CM to replace Gomes and JPG.

Its only a 10m spend on a serious upgrade if it happens

Every few weeks I just come on here and CANNOT believe we have James here. Count your blessings, enjoy it and be grateful. Fantastic!
Just saw those Kanchelskis throw backs and thought in a few years I hope we don't look back and think 'eh, how did we ever have James at Everton?' hopefully Carlo & James are starting off an era where it will be normal and expected to have good players at our club!

Here's the thing with Senor James - if he was fit every game, he'd still be playing in a top, top side. That's his quality. But he's not fit, and won't ever be fit all the time. So he needs to go to the right situation, a manager that understands him, and a club that's outside the top sides but has visions of crashing that party - a club that just needs that extra spark of quality from a world class player from time to time (like at Mordor or at OT) to push us to another level. For me, Everton, or a club like ours, is where he is right now, and I think he understands this and is happy with that.

It's a no brainer for us to sign him long term, with the understanding he's not going to play all the time, but as others have posted, it shows we mean business.

We do this because it sends a signal to players elsewhere that we mean business for some time to come. It's a no-brainer because we don't have to break the bank to do it.

Attracting a player like this on a short term contract is a big deal; retaining him is a really big deal.
I absolutely love the bloke but I'm not sure i'd call choosing to extend his contract a no brainer. It depends what the automatic trigger point for renewal is but if he doesn't hit that then you'd have to assume he'd have missed a huge chunk of next season (or we just inserted a slightly bizarre clause into the contract). If he misses much of next year then giving him a new contract at £150k a week or whatever it is would definitely be a risk. You can certainly argue it would be a risk worth taking, but it would be a risk nonetheless. On that basis it's not really a no brainer.
