This article from when the previous majority shareholder of Hertha took over gives a decent summary of of the 50+1 rule.
It has been a fantastic few days financially for Hertha Berlin. On Monday the club sold winger Valentino Lazaro in a deal worth up to €25 million to Inter Milan. Furthermore, Hertha signed a deal worth up to €225 million with investor Lars Windhorst on June 27.

Put simply, the football operations can be bought by an investor, but the institution of the club has to remain run by a majority of shareholders. A handful of teams like RB Leipzig have gotten around this by only creating a fixed number of members with voting rights that while technically separate from Red Bull, magically always align in their vision for the club.
There are so many similarities between us and Hertha right now by the way and I’m terrified of either relegation or this nob getting anywhere near us. Genuinely think either happening would be the be beginning of the end for us a club.
