There will be an AGM, its just this years is a little later than last years. It was thought it might be the same as last year but that date has passed. It will be announced shortly though (along with accounts)

Cheers mate, the accounts side of things I am absolutely clueless about. Hopefully we hear more concrete news about the stadium, commercial plans for the future and of course more details about player recruitment this January.
 
Why wouldn't the share issue come first? Would a loan allow him to simply just buy up the rest of the existing shares?
I'm looking at it logically, so the first stage would be to gain effective control by exercising the options.
Then do an underwritten rights issue - 1 share for 1 share at say 5k per share. This raises 175 mil less costs. Any rights not taken up by individuals are mopped up by BHHL
Because of the way he has gone about his acquisition, he can't force anyone to sell at this point, as it requires a minimum 75%+1 shares to vote in favour of a scheme of arrangement (the shares of BHHL would be ignored as they are doing the taking over)
What he could do is make an open offer to all shareholders to purchase and see how it goes I suppose.

I'm a simple man so a lot of the stuff posted on here goes right over my head. I just wondered if they have to do an AGM, or if they don't do one would they give a reason why? Would there be a reason why one wouldn't happen? I seem to remember weren't these stopped a few years ago by Kenwright and then brought back
Articles of Association article 10 means they have to call a general meeting every calender year.
If they don't then Companies Act 2006 means that they can be forced to by (in certain circumstances) as little as 5% of the shareholders (in aggregate the holders of 1750 shares). Think that's correct
CA2006 doesn't force a GM on private companies, so EFC changed the articles changed to reflect this - then were changed back after a few years.
 
The only thing that worries me about the PL mate, is there has to be a tipping point when it comes to finance, ther eis only so much revenue that can be made by its commercial partners, its getting to a microcosim now in term sof ways to make money. TV deals wont always be bumper and there will be ceiling eventually in terms of how much the PL can make, when that comes any club that has over extended themselves will see there growth fall and sharply. Whether that will be a tailing of or bang financially is abyone guess. Skys subscription figures are already down.

i have my fingers crossed that that day will come soon. No way should footballers be paid the obscene amounts they do. If i was a player like pele, i'd be seriously peed by how good i was compared to the utter averageness you see these weeks earning half a million a month etc.
I just want the sport to become enjoyable again, every year i watch less and less, money gets more ridiculous and the quality gets worse.
 

I would hope that Moshiri would not only attend, but speak at length informally at the AGM. It is the perfect opportunity for him as well as shareholders and would be reported to the broader fanbase. He can really grab the bull by the horns and sell his vision for Everton in a way that a 12 minute interview with Jim White cannot accommodate.

The defensiveness and contempt shown to shareholders by Robert Elstone at the previous AGM was utterly appalling.

It would/will be fascinating to hear Moshiri expound on the critical issues of stadium building and financing and squad investment with an Evertonian audience.

I think he has to accept that communication with fans is poor and is an ongoing issue. As this is more of a slow-burn revolution unlike the sort with Abramovich and Sheikh Mansour, where big money was spent immediately, they simply have to work harder to keep fans in the picture. Some will say they are under no obligation to do so of course, but it is the fans that are the sole backbone of this club. We are in it for life.

Surely they'll just waste most of the evening with a power-point presentation/review of last 12 months again. Leaving little time for Moshiri to engage and also shareholders to be the watchdog of the club via meaningful questions from the floor.
 

That would be the cheery on the "Everton that" cake as reality slowly dawns that as a club we have been well and truly done over.

I can guarantee that the AGM will not be a stadium announcement - it will have the usual "we are going to give the supporters a stadium to be proud of" etc..
