Would need the holders of 10% of the voting rights to call an EGM, costs to be borne by the callers. Basically, the holders of 3500 shares, so at that time unles they got Grantchester behind them, extremely difficult.

If they tried to skip an AGM now it's in the amended Articles, I think 5% can call one. The court could also force it to be held. That's my umderstanding of part 13 CA 20O6.

You're right that there hasn't been an AGM for a few years now. The last three years have seen a Shareholder's Meeting held at the Philharmonic (hall, not pub). No idea what is happening this year, despite my position as a major shareholder in Everton F.C.
My take on the reason for the AGMs being discontinued was the anger generated by the failed move to Kirkby. The operating costs argument was a bit of a sideshow.

You're completely wrong. There's a difference between the club AGM and the shareholders association AGM. They had a club AGM last year, and the club AGMs got reinstated 3 years ago. The meetings at the Philharmonic Hall were actually official club AGMs 'Annual General Meetings', attended by the top club employees and shareholders.

9 years? Not sure where you got that from. It has been at Bramley Moore Dock for the last two.

However, it is unusual for the change in location. They had a few issues with the venue the first year, in terms of stage positions, overcrowding and sound clashing. However, last year (minus a powerout) seemed on the whole a lot better. Unless there were some serious issues with the site, I would say it is an usual step to move to again just as they seem to be ironing things out.

I also don't think they sold out the last years, so it wouldn't be a capacity thing.

My reason for posting the news was to illustrate something was happening with the site, with the belief many have that it has changed hands in ownership and the new owners (i.e. most likely EFC) have plans for the site.

Sorry to disagree. The meetings at the Phil were NOT AGMs in that no business was conducted. They were just meetings called by the Board to discuss issues with shareholders.
The Shareholder's Association is a completely separate entity that sits outside the club.

Yes, that's true. However, the act you quote makes an AGM optional. The meetings at the Phil in the last three years have not been AGMs.

The revised articles of association (29th May 2014) of The Everton Football Club Limited re-instated the AGM with a commitment to hold one every calendar year.

The subsequent meetings have been formal AGMs.

Thanks for the clarification.
However, the AGMs I attended pre 2013 were entirely different to those held since then. The biggest difference is that no business was conducted in those meetings held in the Phil in the last three years.

You're right but what most people refer to as the AGM is the shareholders' Q&A. The AGM itself is a fairly dull affair, it's the session afterwards that most people find interesting and there is no requirement to have that.

CBA checking, but Article 10 possibly refers to General Meeting rather than AGM. 2006 Act makes no mention of AGM for private companies, just General Meetings.
A more boring post than a formal AGM - beat that.
