He sat on the board of directors, he was not a company director. He had the same influence and power within the board room as his fellow board members.

Yes I would agree from a day to day executive board he had the say.

However as he was not a director he could not insist on attending formal meetings of the board of the directors. A different concept from a day to day executive board which is not written into company law whilst meetings of the board of directors are. He could only ever be invited to meetings of the Board of directors and would have had limited say at such meetings. I have seen numerous private companies ran like this.

My point is therefore his influance has increased as he is now a chief exec and director a very different concept from chief executive employee.

There is only one statutory provision for "the board" and that is in the proper keeping of records and minutes ( CA 2006, section 248).

Board meetings are regulated by the articles of association of the company, there's no "day to day executive board" at Everton.

Unless you know the exact t&c of any contract you opinion lacks substance. Making assumptions is wrong. To remove elstone at this early stage would be madness. He will be knowledgable of day to day business, this will allow any newcomer to assess, develop strategies and improve effectively with limited impact on day to day affairs.

Take a deep breath, enjoy the semis and watch the good times unfold...... with or without elstone. Time will tell

I will pipe down, ha ha. Apologies @The Esk I strayed from my original thought and observation which was why our CE of a number of years was only now just made a director.

This is the mistake Moyes made at Utd, got rid of all those who knew how the club worked and brought in his own, the rest is history. Continuity and improvement is key. It may take a bit of time but the signs are good.......
