As is usual on this forum the main news is marginalised in favour of a juicy titbit.

The important news is the appointment of the Russian banker to the board. That is significant.

The appointment of Robert Elstone is newsworthy only in that many on here for some reason thought he might be leaving the club.His appointment to the board does not really give him additional powers but does show I believe that he founf favour with Moshiri.

About the only thing I can think of which is vaguely positive about that is that as CEO under the old board he was basically doing what he was told. Maybe with Moshiri in charge he'll show some us he's vaguely competent when given a decent remit.

He does seem a complete plonker though.

The other guy with the long name seems to make sense. Someone who Moshiri trusts, who will carry out his instructions and get the job done. Maybe it's some sort of "good cop", "bad cop" routine ?

Well until Sir Philip Carter died the board was Kenwright, Woods, Earl, Carter (and Elstone?), now it's Kenwright, Woods, Elstone and Ryazantsev so it's not any bigger than it has been in the past.
 
We've also smashed our transfer record received numerous times under his stewardship. Spent a lot of mi way on a failed ground move that was doomed very early on under his stewardship. Had the badge fiasco, a "shitty office block" project that failed, him insulting fans on the record (twice I think), a public fall out with the mayor.

The badge issue was not his direct issue. He may have faults and many of them, but he was not the root cause of the flip-flop on the badge.

I think the articles say there'll be a minimum of three people on the board, rather than exactly three, so I'd say yes, you can have a four man board.

I'm assuming Earl will stand down, and wouldn't be surprised if Woods does the same, which would just leave Kenwright and the lad with the long name, so, if that happened, then you'd need someone else.

If Earl doesn't resign then I have no idea what's going on, still, nothing new there.

The conduct of board meetings is almost entirely unregulated by the Companies Act.

There is only one statutory provision for "the board" and that is in the proper keeping of records and minutes ( CA 2006, section 248).

Board meetings are regulated by the articles of association of the company, there's no "day to day executive board" at Everton.

The CEO runs the club, it can't get any simpler than that. His entire job is to implement the boards decisions and he has no authority to make decisions on behalf of the board without prior approval

He has been sat on the board. Just not a director

Earls profile has already been removed from the efc website so yep he has gone
