The Everton Board Thread

It seems that BK and his board can't be removed due to a legally binding agreement when he sold the club that he is kept on as chairman.

It also seems that there are no opportunities for investment due to us being on the financial precipice with possible sanctions from the PL on the way. This would indicate that the stadium won't be finished for an indefinite period until there is more funding in place.

This also means that Moshiri probably can't/won't sell the club due to a drop in it's value and a lack of potential interest with all this hanging over us.

In short, we are goosed unless either or both a) BK and his board voluntarily resign, and b) Moshiri is prepared to sell the club at a massive loss to him. And the only way that either of those will happen is due to pressure being applied via the protest rallies.
It must be an ironclad agreement! Because it looks like at this point Bill could bend Moshiri's mom over the boardroom table and give her the old heave-ho, minutes before a board meeting, just as everyone's about to enter the room, only to have Bill say: 'Almost done hammering out this tough contract negotiation lads. Just give me a few, ta.!'

And Mosh would just smile, wave and then cower away out the room.

Where's this mate ?
Nowhere. It's just the only conclusion that can be reached when you consider why Moshiri hasn't and won't take any action to rid the club of the current board and why he has stated that he is happy with them. His hands must be tied by a legally binding agreement otherwise he surely would have acted by now.

Could be wrong of course but there seems to be no other plausible explanation for the current impasse.

I dont believe it's possible as Moshiri coukd buy club on the Monday, not be able to remove the BoD and then sell club on the Tuesday to his mate and then be able to get said mate to remove the BoD.

He certainly had an agreement to stay on as chairman but there is no chance that he has a legally binding agreement that prevents his removal

Maybe it's like when Facebook bought the Oculus Rift for $2 billion. They left the creator with 10% shareholding and a seat on the board as an executive director to carrying on developing it. Facebook as the majority shareholder are the only ones with power to appoint and fire directors.

I guess it's just like a normal employment contract, and they can fire him if he breaches the contract agreement. So basically don't pull your knob out at inappropriate times, do your work and you shouldn't have any issues.

A decent pod to listen to but if you can't be bothered please fast forward to 16 minutes.

More evidence that our board is inept. Happy to sit around the Liver Building slapping each other on the back rather than playing 'the game' properly.

Also highlights once again it's not even a properly functioning board. It's unusual to have employees on a board of directors. 75% of our board is made up of employees.

European footballing members association. This is a meeting of clubs in Europe who are members, including the biggest clubs and smaller clubs who are members. Allows CEO’s and senior Executives to talk with each other and governing bodies, share ideas, network and discuss current footballing politics. Everton have been a member for years.
Guess which club didn’t bother to send anyone.. again..

Maybe in a listed company, but the vast majority of private company’s directors are employees.
In the grand scheme of things we’re a <£200m p/a private company. Not especially big.
There’s a lot of talk of company governance like we’re some sort of conglomerate. We aren’t.

This isnt legally possible, dont talk nonsense, put if this way, do you really think Kenwright is that good at contract negotiations and contract law ? He would be the best chairmen ever if so. Imagine he put some kind of clause into a sale that both Usmanov, Moshiri and the legal team they have read and signed, you really think that can happen? It cant, not legally and not in reality, and even if they did 24 hours later then can just bin him and pay the fine or whatever.
Reality is Kenwright has spent the last 7 years as one of Farhads employees and could of been removed at anytime, but Moshiri decided not too.... which is on him alone
