The Everton Board Thread

As I said before and to avoid speculation. Go look at the shareholders and/or EFCSA for more information.

Bill Kenwright definitely has told shareholders of his general ill health. Specifics are not public and I'm not going to publish specifics myself. However, it is 'incontrovertible' Bill Kenwright has told persons of his serious ill health. It is already public

Simon Jordan on Talk Sport in January 2023, spoke of it also. It is already public.

Why then cancel the EFC Annual General Meeting (AGM) ?

I think the word you're looking for is 'cowardice'

You can be sued for not disclosing serious health issues by shareholders that might lead to 'Loss of capacity'

The issue of the EFC Annual General Meeting cancellation, unannounced and abruptly is also directly relevant to the topic
'Loss of Capacity'? He's not flying a plane
If he becomes unable to do the job he can be removed by the board then, but he does not have to disclose private health issues to shareholders, particularly at an AGM
Cancellation of the AGM is just because they are a terrible board, and don't like being asked anything by anyone which is why so many want them gone but as I mentioned they are not required to hold an AGM either

The board - cannot remove a board member. Only shareholders can, or at least shareholders have to be involved. Other than other legal mechanisms via the Companies Act and model articles of association.

You are wrong on all counts in your post.

The provision to remove a board member by vote of other board members is often included in a company's articles of association should they exist. Otherwise they can be removed by shareholder vote or a resolution of the board and with support from the court due to your aforementioned incapacity which was the point of your previous post was it not?
You are still stuck on two things which are not valid
Shareholders do not have the right to know a Director's Medical details and I challenge you to show me the legislation supporting your claim
Everton are not required to host an AGM whether we want them to or not

Fiduciary duties

Agreed. The whole statement is ruined by bringing his health into it. Not only is that personal and private but also inaccurate anyway as the issues with his poor leadership and direction go back a long time before any alleged illness. Really amateur statement by them.
kenwrights ill health has been rumoured since about 2009 maybe even earlier and i know it sounds bad to say but i always got the feeling he leaked them rumours to try and stop people turning on him back then , how many years later is it now and it’s still only a rumour

No more comments about his or anybody elses health - that's between him, his family and his doctors !!!!!!

@Tom Hughes I believe you are a shareholder….I’m not looking for any detail you are not comfortable in sharing but are you aware of BK illness which is having a negative impact on his ability to competently carry out the duties of his office? (outside his apparent incompetence)

Wouldn't say I'm privy to Kenwright's state of health other than what he's told the chairman of the Shareholder's association, which suggests he has been seriously ill recently, possibly debilititatingly so. Then again, I was similarly told several years ago that he was on his lazzies, so I can't say I'd repeat anything I've heard with any real confidence tbh.
