So Premier League can't reject a Takeover but they can just not approve it.

So meanwhile 777 keep loading Debt in the club because Moshiri can't or won't put money in running the club.

Circling The Drain this takeover bid. If we had any other offers surely they would be talking to Moshiri now.


The PL rejected the Newcastle takeover (before HMG stepped in), so it looks like they can.
The Premier League have rejected a takeover bid for Newcastle United made by the consortium fronted by Amanda Staveley, report George Caulkin and Chris Waugh.

In an official statement, Newcastle said the Premier League reached their decision despite the club “providing overwhelming evidence and legal opinions that PIF is independent and autonomous of the Saudi Arabian government.”

R&M felt that the MSP deal undervalued the club. I suspect their concern was that, in the event of administration, this would become an issue with how much they would be repaid or the value of the property etc with which they hold a charge?

In any case, upon change of ownership they have the ability to call in some or all of their loan facility. In this instance they wanted partial repayment and MSP did not have the money to do so and Moshiri wasn't prepared to pay it either. Hence why the investment changed to a straight up loan which R&M have no say over.

They have no issue with 777 because either they intend to repay R&M partially or in full OR their deal values the club financially at a level R&M are comfortable with. Albeit Moshiri will receive that money in tranches over a set period....which R&M couldn't care less about.

The reason R&M rejected the MSP deal was this mate, of the 140 mill to be invested, 100 mill was to go to the stadium company, and 40 mill was to go to the club - for a 25% equity stake with warrents. R&M with their veto would not sanction a deal as they wanted all the 140 mill going to the club and also to pay down part of our 200 mill debt with them. They felt 40 mill for a 25% stake in the club was too low. They are our most senior debt and believe they had an issue with the warrants value too for future equity.

So Moshiri pulled the plug on the equity swap and then came up with the loan deal for the stadium alone and went back to 777. Thats what happened in a nut shell. MSP always thought an outright takeover of the club in one go was risky anyway.

Now their 140 mill loan is secured against the Stadium company, if we are taken over they also have to be repaid as a condition of the loan.
 

Everything in the article states that the league did not reject it. It actually affirms what was written above, that they just withhold approval instead of reject

Our offshore deals the massive interest put MSM off they saw those & decided they wanted no takeover.... they still invested in BMD though.... another debt owing to any new buyer ....

With everything that's happened and the hints of administration if it fails, there's zero chance the Premier League will want to be seen as responsible for that happening by outright saying no.

Every day is another day somebody else could come in. An outright rejection, if it happened, might accelerate things towards a bad outcome. Not that any good outcomes look likely
