So the whole host of options thing - name one that doesn't involve a general meeting - unless you're going down the legal route.

Board members can have a meeting in a hotel in London or at Kenwrights house for a discussion.

Recruitment is a minor issue in the grand scheme of things on the business.

The company identifies the candidates. Then board will probably be the ones doing private candidate interviews. Otherwise its not something that could lead to EGMs or legal action. Its just not that sort of issue.

Otherwise EFC would never get any work done.

When everyone knows getting a new manager's contract negotiations completed can take weeks or more.

Its totally unrealistic for people to expect things to just happen at the click of fingers.

So I'm talking about Mr Moshiri as a shareholder and his ability to remove the Chairman in a theoretical sense, you're talking about recruitment by the board of a new manager.
The mind boggles.

Thats what the page you were commenting on was talking about. As if Kenwright was blocking things and you indicated that if Moshiri was not happy with that he could call an EGM.

Why? No need to. So many ifs and buts in the meantime. It was not even relevant to the overriding issues.
 

@bizzarro Wasn't commenting on anything other than the fact in law that BK still has power because other people had asserted he hasn't.
If you aren't prepared to accept that and try and make my post something it wasn't, good luck.
People a sight more savvy than yourself picked up on it.

In law. BK does have some power. However, in law BK has liability for it too. If Moshiri did want to dispute anything.

Either way BK will want to cooperate with his major shareholder and with a proxy on the board. Or he would be a little bit silly.
 
How can someone with a 13% shareholding be viewed as independent?

Because he has a fidicary duty to be so as the chairman Esk.

With his deciding vote. Comes responsibility. As a consequence of liability if he does not do so in accordance with the articles of association. the CA etc.

Even then the shareholder can dispute a decision.
