I need to emphasise that a company chairman is generally expected to bring an INDEPENDENT view to the boardroom decisions they have to make.

In the interests of everyone.

Anyone thinking Kenwright is somehow protecting anyone or blocking decisions is completely wrong.

Businesses don't operate on a SOCIAL MEDIA TIMESCALE.

Certainly not a business like EFC.
 
Given that Moshiri is the major shareholder. Kenwright will no doubt take that into consideration. Since as well as making decisions for the benefit of the business the chairman has a duty to prevent strife in the boardroom.

There is lots of speculation on here. About decisions having been/not having been made.

None of it accurate.

None of it relates to how a business operates.
I have given a situation which could arise and how the Chairman could be removed in accordance with the Articles of Association and the Companies Acts.
Do neither of these count when operating a business?

Yes. But there you're basing such an assumption that there is a conflict within the boardroom. Which has been the theme for the last few pages.

People are projecting their private anti-Kenwright bias.

Thinking that there is something wrong (after 4 weeks) in the boardroom. Which is nonsense.

People taking delight in the thought Kenwright and Moshiri are at each others throats. Which is utterly ridiculous.

If you bothered reading the first word of the post ie Theoretical, you may have sussed that I was pointing out that BK does have power contrary to earlier assertions otherwise, and a possible remedy using standard business procedure and Company Law.
I would very much doubt that there would be discord in the Boardroom given that 2 members of the board have (presumably) call options on their shares, but if there is, given you the solution.

But its an entirely mute point.

In that the business is operating fine in private. No doubt finding options and negotiating the exit of Martinez (given the position more widely in the fanbase; lack of trophies and poor league position) whilst acquiring the replacement that is mutually acceptable to the board members.

They are not going to do this in public.

Doesn't mean there is any boardroom strife. Or to think that there is a disaffected shareholder (Moshiri) or the need for an EGM.

A decision will be made publicly in due course. When the board are ready to go public.

So the whole host of options thing - name one that doesn't involve a general meeting - unless you're going down the legal route.
