Fact Earl sold 100% of his sharrs, Kenwright, Woods and Abercrombie sold about 53% of their holdings to Blue Heaven Holdings Ltd. Check it out if you want to buy a shareholder list.

Fact. Options are in place to buy more shares from BK, JW and AA. Check it out at IOM Companies Registry.

Fact. No new shares have been issued at EFC and no documentation to reduce share capital have been registered at Companies House as would be the norm.

If you're talking about an issue post takeover, that is totally differrent.
What has this got to do with anything? Earl came in for the last failed bid. He essentially has been replaced by Moshiri but because it will be so expensive to build the new stadium it has meant the remaining existing shareholders shares have been diluted. Whether they sold them back to the club first and then the club sold them to Moshiri, the club releasing more shares or even them selling directly to Moshiri makes no difference. The end result is the same.

There's been no dilution, there were 35,000 shares before Moshiri came along and there are 35,000 shares tonight. Moshiri, as has been explained to you acquired his shares by acquiring all of Earl's and 53% of BK, JW and AA's holdings. That's it.

The club may at some point in the future subject to 50% +1 share, shareholder approval issue more shares but that's not happened yet nor is currently proposed.

So did Kenwright actually receive any money for his shares?

OK. If the stadium is going to cost 200m then that is going to have to be paid from the shareholders because the club can't fund it. If Moshiri has paid 100m (for their shares) to the remaining shareholders then they would have 100m available to match his 100m to build the stadium. Which is the share ratio right now.

The sum total is that Kenwright and co have lost shares, Everton have a new stadium and Kenwright and co are no richer.
